Terms of Service

The agreement between Kliyan and the businesses that use it — what we provide, what you pay, and what each side is responsible for.

In short

  • Kliyan is sold to businesses, for use in their trade. It is not a consumer product.
  • There is no free trial. A plan must be active before you can build a card or take on customers.
  • A billing lapse never punishes your customers. Existing cards keep working and staff can keep stamping them — only your own new actions are gated.
  • You keep ownership of your brand and your customer data. We hold that data as your processor, on the terms in section 8.
  • Statutory withdrawal does not apply to professional users, so we grant a voluntary 14-day refund on a first subscription instead.

1Purpose

These Terms govern access to and use of the Kliyan platform, operated by Ilyass Ennhila, an individual entrepreneur (empresario individual) established in Spain (Kliyan, we, us). They form a binding contract between Kliyan and the business that opens an account.

Kliyan provides software that lets a business run a digital loyalty-stamp programme whose cards live in the customer's phone wallet. We provide the technical means; the loyalty programme itself, and the promise it makes to customers, belong to the business.

By creating an account, subscribing, or using any part of the platform, you confirm that you have read and accept these Terms and the Privacy Policy, which forms an integral part of this agreement. If you do not accept them, do not use the platform.

This is a business-to-business service

Kliyan is offered exclusively to persons acting in the course of their trade, business, craft or profession. It is not directed at consumers, and consumer protection rules that apply only to consumers do not apply to this contract. Section 12 explains the practical consequence for withdrawal rights, and what we voluntarily offer in their place.

Language

The platform interface is available in English, French and Arabic. These Terms are published in English, and the English text is the version that governs. Any translation is provided for convenience only.

2Definitions

Platform
The Kliyan web application, its dashboard, its public join and scanner pages, and its interfaces with Google Wallet and Apple Wallet.
Account
The registration created by a Business User. Subscription and plan entitlements attach to the Account, not to an individual loyalty programme.
Business User
The business, and the individual acting on its behalf, that registers an Account. Also called the owner.
Branch
One loyalty programme within an Account, with its own card design, QR code, staff and customers. An Account may hold several Branches depending on its plan.
Employee
A member of a Business User's staff who is given a Scanner Link. Employees have no Kliyan account and no login.
Scanner Link
A private URL containing a long random token that lets the holder scan cards and add stamps for one Branch. Possession of the link is the credential.
End Customer
A person who adds a Business User's loyalty card to their phone wallet. End Customers are customers of the Business User, not of Kliyan.
Pass
The digital loyalty card issued to an End Customer and stored in Google Wallet or Apple Wallet.
Stamp
A single unit of loyalty credit added to a Pass when an Employee or owner scans it.
Reward
What the Business User promises when a card is complete. Kliyan records that it became due; the Business User provides it.
Campaign
A wallet notification sent by a Business User to a selected group of its own cardholders.
Subscription
The recurring paid plan that grants an Account access to the Platform.
Plan
A named tier — Starter, Growth or Pro — with the limits described in section 5.1.

3Access to the Platform

Three different kinds of people touch Kliyan, and they reach it in three different ways. Only the first has an account.

3.1Business Users

To open an Account you provide your name, an email address and a password. By registering you represent that:

  • You are at least 18 years old and legally capable of entering into a binding contract.
  • You are acting in the course of a trade, business, craft or profession, and not as a consumer.
  • You are authorised to bind the business on whose behalf you register.
  • The information you give us is accurate and kept up to date — particularly the billing details and the reward you advertise to customers.

You are responsible for your credentials and for everything done through your Account. Tell us promptly at hello@kliyan.app if you believe it has been accessed without your authority. Accounts are for one business; do not share a single login among people who should have their own.

No free trial

An Account begins with no access. You can register and create your first card design, but you must choose and pay for a plan before the card can be published or take on customers. Any reference to a trial elsewhere in older material does not create an entitlement.

3.2Employees

Employees do not register, do not have passwords and cannot sign in. The Business User creates a record for each member of staff, and the Platform issues a Scanner Link. Opening that link is what grants the ability to stamp cards for that Branch.

The Business User controls each link and can, at any time:

  • Switch it off instantly, revoking access.
  • Restrict it to working hours, so it does nothing outside the schedule set for that employee, evaluated in the Branch's own time zone.
  • Remove the employee, which retains the historical attribution of stamps they added.

Treat a Scanner Link as a key to your till

Anyone holding the link can add stamps within its schedule — the Platform authenticates the link, not the person. Distribute links individually rather than in a group chat, never publish one, and switch it off the moment a member of staff leaves or loses their phone. The Business User is responsible for stamps added through a link it issued.

3.3End Customers

End Customers use Kliyan free of charge. They install no app, create no account, and are not asked to accept these Terms — their contractual relationship is with the Business User whose card they hold, not with us.

Scanning the QR code opens a public page from which the card can be added to Google Wallet or Apple Wallet. Giving a name or email address on that page is optional and never required to join, to collect stamps, or to claim a reward.

The Reward is a promise from the Business User to its customer. Kliyan records that a card was completed; we do not provide, guarantee, underwrite or arbitrate the Reward, and any dispute about it is between the customer and the business.

4Description of Service

Subject to an active Subscription, Kliyan provides:

  • A card builder — your business name, logo, brand colour, stamp icon, number of stamps required and reward description, with control over how the card is composed.
  • Wallet passes — issue of the card to Google Wallet and Apple Wallet, and automatic update of the pass on the customer's phone when it changes.
  • A join page and QR code for each Branch, plus printable poster material.
  • Stamping — a browser-based scanner for the owner and for staff on Scanner Links, with server-side authorisation, an anti-fraud cooldown between stamps on the same card, and schedule enforcement in the Branch's time zone.
  • Reward redemption — marking a completed card as redeemed and resetting it so the customer can start the next one.
  • Team management — employee records, schedules, instant revocation, and a stamp-by-stamp audit trail showing who did what and when.
  • Analytics — customer counts, stamp activity, retention and segment views, with an optional revenue-impact estimate based on an average-ticket band you set.
  • Campaigns — wallet notifications to selected groups of your own cardholders, within the content rules and frequency caps described in section 7 of the Privacy Policy.
  • Multiple Branches, where your plan allows, each with its own card, staff and customers under one Subscription.
  • A trilingual interface in English, French and Arabic.

What Kliyan is not

It is not a point-of-sale system, a payment terminal, or a means of taking money from your customers. It records loyalty stamps and nothing more. It does not verify that a purchase actually took place — a stamp is added because a member of your staff scanned a card.

We develop the Platform continuously and may add, change or remove features. Where a change materially reduces functionality you rely on, section 14 applies. Features described anywhere as planned or coming soon are not part of the contracted service and create no entitlement until released.

Parts of the service depend on Google Wallet, Apple Wallet and their push infrastructure. Those platforms set their own policies and can change them. We will adapt as quickly as we reasonably can, but we do not control them and cannot guarantee their behaviour.

5Subscriptions and Pricing

Access to the Platform requires an active paid Subscription. The Subscription attaches to the Account and covers every Branch within it, up to the Branch limit of the plan.

Prices are shown in euros (EUR) and are inclusive of any applicable value added tax. The limits and prices displayed on the pricing page and in your billing area at the time of purchase are the ones that govern your Subscription.

The customer limit applies to each Branch and governs how many cards that Branch may hold. When it is reached, existing customers are unaffected and keep collecting stamps, but new customers cannot join until you upgrade.

5.2Payment

  • Subscriptions are billed monthly in advance and renew automatically until cancelled.
  • Payment is taken through our payment provider's hosted checkout. Card details are entered on their pages and never reach Kliyan's servers.
  • Invoices are issued by the payment provider and are available from the billing portal linked in your dashboard.
  • Your plan is activated by the provider's signed webhook confirmation, not by the browser redirect after checkout. If a confirmation is delayed, your plan activates as soon as it arrives.

If a payment fails

The Subscription is marked past due and you keep full access for a short grace period of 3 days beyond the end of the paid period, so a card that expires overnight does not lock you out mid-service. If payment is still not resolved when the grace period ends, owner access is suspended under section 6.3.

You are responsible for keeping a valid payment method on file and for any taxes, bank charges or currency conversion costs your own bank applies.

5.3Changing Your Plan

You can move between plans at any time from the billing area. Upgrades take effect immediately; the payment provider prorates the change against your current billing period. Downgrades take effect as described below.

A downgrade never deletes anything

If you drop to a plan with fewer Branches, we do not delete the surplus — that would destroy real customers and real stamp history. Your oldest Branches up to the new limit stay usable and the remainder are locked, with their data intact, until you upgrade again. The first card you ever made always keeps working.

After a downgrade, customer and employee limits apply going forward: records already created are kept and continue to work, but you cannot add new ones beyond the lower limit.

5.4Price Changes

We may change our prices. If a change affects your Subscription, we will give you at least 30 days' notice by email or in-dashboard notice before it applies to you.

The new price applies from your next renewal after the notice period. If you do not accept it, you may cancel at any time before it takes effect under section 6.1, and you will not be charged the new price. Continuing to use the Platform after the change takes effect is acceptance of the new price.

Price changes are never applied retroactively to a period you have already paid for.

6Cancellation

Either side may end this agreement. What follows sets out how, and — more importantly — exactly what stops working and what does not.

6.1By the Business User

You may cancel at any time from the billing area, with no cancellation fee and no notice period. There is no minimum term and no lock-in.

Cancellation stops the next renewal. You keep full access until the end of the period you have already paid for — we do not cut you off the moment you click cancel. Beyond the voluntary refund in section 12, payments already made are not refunded on a pro-rata basis for a partly used month.

To have your Account and its data deleted rather than simply left dormant, write to hello@kliyan.app. Deletion is permanent and cascades to every Branch, Pass, stamp record and employee record in the Account.

6.2By Kliyan

We may suspend or terminate an Account where:

  • A Subscription payment remains unresolved after the grace period in section 5.2.
  • These Terms are breached and, for a breach capable of being put right, it is not put right within 14 days of our written notice.
  • The Platform is used unlawfully, fraudulently, or to harm others.
  • The notification system is abused — for example by sending advertising unrelated to the loyalty programme, or by attempting to defeat the frequency caps. Because the wallet issuer accounts are shared across the Platform, this can degrade the service for every other business, and we act on it quickly.
  • We are required to do so by law or by a competent authority.

We will give reasonable prior notice and, where the situation allows, an opportunity to put things right. For serious cases — unlawful use, fraud, a security risk, or conduct that puts other businesses' passes at risk — suspension may be immediate, and we will tell you why as soon as we can.

We may also discontinue the Platform entirely, on at least 60 days' notice, refunding any period paid for beyond the closure date and giving you a reasonable opportunity to obtain your data before it is deleted.

6.3Consequences of Cancellation

Your customers are never punished for your billing

This is a deliberate design decision, not a courtesy we might withdraw. Cards already in your customers' wallets keep working when a Subscription lapses, and your staff can still stamp them and redeem rewards. A printed QR code on a table does not become a broken promise because a card payment failed.

Data is retained after cancellation so you can resume where you left off. If you would rather it were erased, ask us and we will delete it. We may delete the data of a long-dormant unpaid Account after giving you notice at your registered email address and a reasonable opportunity to object or resubscribe.

Sections that by their nature should survive termination do so — including sections 7, 8, 11, 13 and 15.

7Intellectual Property

7.1Kliyan Property

The Platform — its software, source code, database design, interface, graphics, card-rendering system, notification templates, documentation, and the Kliyan name and logo — belongs to Kliyan and its licensors and is protected by intellectual property law. Nothing in these Terms transfers any of it to you.

We grant you a non-exclusive, non-transferable, revocable licence to use the Platform for your own business for as long as your Subscription is active. Within that licence you may not:

  • Copy, modify, translate or create derivative works of the Platform.
  • Reverse engineer, decompile or disassemble it, except to the extent that applicable law expressly permits despite this restriction.
  • Resell, sublicense, rent or offer the Platform to third parties as your own service.
  • Scrape it, or access it by automated means outside any interface we provide for that purpose.
  • Remove or obscure proprietary notices, or attempt to defeat plan limits, access controls or rate limits.
  • Use it to build a competing product.

7.2Business User Content

You keep everything you bring. Your business name, logo, trade marks, brand colours, uploaded images, reward descriptions and campaign text remain yours. We claim no ownership of them.

You grant Kliyan a worldwide, royalty-free, non-exclusive licence, for the duration of your Subscription and strictly for the purpose of providing the service, to host, store, reproduce, adapt for display and transmit that content so that we can: render your loyalty card and its images; publish your join page and QR materials; generate posters; and transmit what a pass needs to Google Wallet and Apple Wallet so the card appears correctly on a customer's phone. This licence exists only so the product can work, and ends when your content is removed or your Account is deleted, subject to a short period for backups to cycle out.

You warrant that you hold the rights to everything you upload, and that it infringes nobody else's rights. You indemnify Kliyan against third-party claims arising from content you provided.

Uploaded logos are publicly accessible

Your logo is served from a public URL because Google, Apple and your own join page all need to fetch it to render your card. Anyone with the link can view the file. Upload only images you are content to publish, and never anything confidential or personal.

We will not use your logo or brand in our own marketing without your permission. If you give it, you can withdraw it at any time by writing to us, and we will stop using it in new material.

8End Customer Data (Data Processing Terms)

This section is the data processing agreement required by Article 28(3) GDPR. It applies whenever Kliyan processes personal data on your behalf, and forms part of these Terms. In it, you are the controller and Kliyan is the processor.

Kliyan undertakes to:

  • Process only on your documented instructions, including as to international transfers, unless required otherwise by EU or Member State law — in which case we will tell you before processing, unless that law forbids it. Your use of the Platform's features constitutes those instructions.
  • Ensure confidentiality. Everyone we authorise to process the data is bound by an obligation of confidentiality that survives the end of their engagement.
  • Apply appropriate security measures under Article 32, as described in section 11 of the Privacy Policy.
  • Engage sub-processors only under written terms imposing the same obligations, and remain fully liable to you for their performance.
  • Assist you in responding to data-subject requests, taking account of the nature of the processing and the information available to us.
  • Assist you with security, breach notification, data protection impact assessments and prior consultation under Articles 32 to 36.
  • Notify you without undue delay on becoming aware of a personal data breach affecting your data, with the information you need to meet your own obligations.
  • Delete or return your data at the end of the service, at your choice, and delete existing copies unless retention is required by law.
  • Make available the information needed to demonstrate compliance, and allow and contribute to audits or inspections conducted by you or an auditor you mandate, on reasonable notice, no more than once a year unless a regulator or a breach requires otherwise, and subject to confidentiality.

Sub-processors. You give a general written authorisation for the sub-processors listed in section 4 of the Privacy Policy, which is the current and definitive list. We will give at least 30 days' notice before adding or replacing one. If you object on reasonable data-protection grounds within that period, we will work with you to find a solution; if none is workable, you may terminate the affected service without penalty and receive a refund for any unused prepaid period.

International transfers. Personal data is hosted in the European Union. Where a sub-processor involves a transfer outside the EEA, it is made under an adequacy decision, Standard Contractual Clauses, or another valid Chapter V mechanism, together with any supplementary measures required.

Your obligations as controller

You decide to run the loyalty programme, so you must have a lawful basis for it, give your customers and staff their own privacy notice, obtain any consent the law requires, and answer their data-protection requests. You must not instruct us to do anything that would breach data protection law — and we may refuse and tell you why if you do.

9User Obligations

9.1Business Users agree to:

  • Provide accurate registration and billing information, and keep it current.
  • Honour the reward you advertise. The card is a promise to your customer, made in your name. Do not change the reward or the number of stamps in a way that unfairly deprives customers of progress already earned.
  • Use the Platform lawfully, and comply with data protection, consumer and advertising law where you operate.
  • Meet your own controller obligations under section 8, including giving customers and staff a privacy notice covering your loyalty programme.
  • Keep Scanner Links confidential, distribute them individually, and revoke them promptly when staff leave.
  • Not add stamps fraudulently, inflate activity artificially, or use the Platform to mislead customers.
  • Send Campaigns only about your loyalty programme, respect the frequency caps, and never use passes for unrelated advertising.
  • Not collect special-category data through the optional customer fields, and not use those fields for anything you have not told your customers about.
  • Not attempt to circumvent plan limits, access controls, rate limits or the tenant isolation that protects other businesses.
  • Not use the Platform to store or transmit unlawful, infringing, offensive or harmful content.
  • Take responsibility for what your Employees do with the access you give them.

9.2Employees agree to:

By using a Scanner Link, a member of staff agrees to:

  • Add stamps only for genuine transactions, as instructed by their employer.
  • Keep the Scanner Link private — never share, forward, publish or photograph it.
  • Not stamp their own card, or anyone else's, for a purchase that did not take place.
  • Use the scanner only during the hours their employer has set.
  • Report a lost or compromised link, or a lost device holding one, to their employer immediately.
  • Understand that every stamp and redemption is recorded against their name, with a timestamp, as an anti-fraud audit trail.

The Business User remains responsible to Kliyan for the conduct of anyone using a Scanner Link it issued.

10Availability and Maintenance

We aim to keep the Platform available continuously and we monitor it, but we do not currently offer a contractual uptime guarantee or service credits. The Platform is provided on a commercially reasonable efforts basis. If we introduce a service level agreement, it will be published and will apply from the date stated in it.

Availability depends on third parties we do not control — our hosting and database providers, the payment provider, and Google's and Apple's wallet and push services. An outage or policy change at any of them can affect the Platform, and we are not liable for their failures, though we will act promptly to limit the effect and keep you informed.

  • Routine maintenance is performed where possible without interruption. Where downtime is needed, we will give advance notice and schedule it outside peak hours where we reasonably can.
  • Emergency maintenance — for a security vulnerability or a fault causing data loss — may be performed without notice. We will tell you as soon as practicable.
  • Stamping is the priority. Where we must choose, we will protect the ability of your staff to stamp cards and of your customers to keep their passes over less critical functions.

We keep backups of platform data as part of normal operation. Backups are a disaster-recovery measure for the Platform as a whole and are not an individual restore service; we cannot guarantee recovery of a specific record you deleted yourself.

11Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for wilful misconduct or gross negligence.

Subject to that, and because this is a contract between businesses:

  • Aggregate cap. Our total liability arising out of or in connection with this agreement, in any 12-month period, is limited to the total amount you actually paid us for the Subscription in the 12 months before the event giving rise to the claim.
  • Excluded losses. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business or goodwill, loss of customers, or for indirect or consequential loss, however arising.
  • Third-party platforms. We are not liable for acts, omissions, outages or policy changes of Google, Apple, the payment provider, or our hosting and database providers.
  • Your loyalty programme. We are not liable for the rewards you promise, for disputes with your customers about them, or for business decisions you take on the strength of the Platform's analytics — which are estimates offered for guidance, not audited figures.
  • Your own acts. We are not liable for loss arising from your failure to keep credentials or Scanner Links secure, from stamps added by people you gave access to, or from data you deleted yourself.

Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Platform is provided as is and we give no implied warranties of merchantability, fitness for a particular purpose or non-infringement.

A claim must be brought within one year of the date you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it, except where a longer period is mandatory by law.

Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control — including internet or infrastructure failure, acts of public authority, natural disaster, war, terrorism, epidemic, or industrial action not involving that party's own workforce.

12Right of Withdrawal

The statutory 14-day right of withdrawal for distance contracts is a consumer right. Under Spanish and EU consumer law it protects natural persons acting outside their trade, business, craft or profession. Kliyan is sold only to businesses acting within theirs, so the statutory right does not apply to this contract — and that includes sole traders and self-employed professionals subscribing for use in their business.

So we give you a voluntary 14-day refund instead

We would rather you tried the product than argued about your legal status. If Kliyan is not right for you, write to hello@kliyan.app within 14 days of your first subscription payment and we will refund that payment in full. No justification is required.

The terms of that voluntary refund:

  • It applies to the first payment on an Account only — not to renewals, and not to a repeat subscription after you have previously subscribed and cancelled.
  • The request must reach us within 14 days of that first payment.
  • The refund is made to the original payment method, normally within 14 days of our accepting the request.
  • Your Subscription ends on refund, and the consequences in section 6.3 apply — your customers' existing cards keep working, but no new customers can join.
  • We may decline it where the Account has been used in breach of these Terms, or where the refund is being used to obtain the service repeatedly without paying.

This is a contractual commitment we make voluntarily. It is in addition to, and does not limit, any right you may have under mandatory law.

13Governing Law and Disputes

These Terms are governed by Spanish law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Because this is a contract between businesses, the parties submit to the exclusive jurisdiction of the courts of Zamora, Spain, expressly waiving any other forum to which they might otherwise be entitled.

Talk to us first. Before starting proceedings, please write to hello@kliyan.app setting out the problem. Most disputes turn out to be misunderstandings, and we would rather fix one than litigate it. Both parties agree to attempt a good-faith resolution for 30 days before commencing proceedings — which does not prevent either party from seeking urgent injunctive relief.

Nothing here affects a data-protection complaint to the Agencia Española de Protección de Datos or to your local supervisory authority, as described in section 10 of the Privacy Policy.

14Changes to These Terms

We may update these Terms as the product and the law change. The effective date at the top of this page always identifies the version in force.

  • Material changes — anything affecting your rights, your obligations, our liability or the price — will be notified by email or in-dashboard notice at least 30 days before taking effect.
  • Minor changes — clarifications, corrections and typographical fixes — take effect on publication.
  • If you do not accept a material change, you may cancel under section 6.1 before it takes effect, and it will not apply to you. Continuing to use the Platform after that date is acceptance.
  • We will never apply a change retroactively to a period you have already paid for.

We keep previous versions and will provide them on request.

15Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and the plan details shown at purchase, are the whole agreement between us on this subject and replace anything said or written beforehand.
  • Severability. If a provision is held invalid or unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in force.
  • No waiver. Not enforcing a right on one occasion does not waive it. A waiver is effective only if given in writing.
  • Assignment. You may not assign or transfer this agreement without our written consent. We may assign it to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you.
  • No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship between us.
  • Third parties. Except as expressly stated, no one who is not a party to this agreement has any right to enforce it.
  • Notices. We write to the email address on your Account — keep it current. You write to us at hello@kliyan.app or to the registered address in section 16.
  • Language. The governing version of these Terms is the English text.
  • Survival. Sections 7, 8, 11, 13 and 15, and any other provision that by its nature should survive, continue in force after termination.
